Türkiye accepts EssilorLuxottica commitments and closes competition investigation
The Competition Board made six commitments binding on 23 September, covering retailer discounts, lens supply terms and data sharing, the Authority said on 9 October.

Türkiye's Competition Board has accepted commitments from EssilorLuxottica S.A. and closed its investigation into the eyewear group, the Competition Authority said in an announcement dated 9 October 2026. The Board's decision is dated 23 September 2026 and numbered 26-35/980-414.

The investigation had examined whether the company infringed Articles 4 and 6 of Act No. 4054 on the Protection of Competition, which deal with restrictive agreements and abuse of a dominant position. The announcement gives no further account of the alleged conduct. The Board made binding the six commitments the company submitted, the Authority said.
The six commitments
The announcement sets out each commitment and its duration. Three run for three years and three for two years:
- Three years: not to offer ATASUN discounts on branded sunglasses and branded optical frames that differ from those offered to other opticians in Türkiye.
- Three years: not to design periodic campaigns on branded sunglasses and frames that suit only ATASUN's participation, or otherwise favour ATASUN over its retail competitors.
- Two years: to cap the glass purchase commitment in package agreements, which combine ophthalmic lenses and lens cutting machines, at a maximum of 18 months.
- Two years: to include in lens supply agreements with opticians an express provision that they are not required to buy exclusively from EssilorLuxottica.
- Two years: not to provide discounts on contact lens purchases under new ophthalmic lens agreements.
- Three years: not to share with ATASUN data on its competing opticians obtained through lens counters in lens cutting machines.
Taken together, the commitments cover price terms offered to one retailer, the design of promotions, the length and exclusivity of lens supply and machine packages, and the use of data collected through equipment installed at opticians, according to the Authority's list. The announcement does not describe how compliance will be monitored.
How commitments work under the Act
Under Article 43 of the Act, undertakings may offer commitments during a preliminary inquiry or an investigation. If the Board finds that they resolve the competition problems, it may make them binding and decide not to open an investigation or to end one already under way. The Act does not allow commitments for the most serious infringements, such as price fixing between competitors, region and customer allocation, or supply restriction. It sets no deadline for submitting them and leaves procedures to a Board communiqué.
The Board may restart an investigation after a commitment decision in three cases, the Act says: a substantial alteration in any of the factors on which the decision was based, a breach of the commitments by the undertakings, or a decision that rested on missing, false or misleading information from the parties.
The Authority's docket
The closure came in a busy autumn for the Authority. On 7 September it announced an investigation into 37 undertakings and two associations over suspected labour-market infringements, according to its announcements page. It held a workshop in Ankara on 21 September within its pharmaceutical sector inquiry, where key findings of the preliminary report were shared, and on 29 and 30 September it hosted competition authorities from 24 African countries in Istanbul.
The same page lists the launch of an investigation into Adkoturk Gıda Sanayi ve Ticaret on 7 October, hearings in the investigations into Yıldız Entegre Ağaç Sanayi ve Ticaret on 6 October and Tarlak Yapı İnşaat Madencilik Sanayi ve Ticaret on 20 October, and a hearing in the investigation concerning Anadolu Kılavuzluk and other companies on 22 September. On 29 August the Authority authorised Paramount Skydance Corporation's acquisition of sole control over Warner Bros. Discovery Inc. subject to conditions, the page shows.
